1. Introduction to Terms of Service

Welcome to NexaSeva ("we," "our," or "us"). These Terms and Conditions ("Terms") rule your use of our services. NexaSeva is a registered MSME business in India (Udyam Registration 🔗 • Udyam Card 🔗). By using our work, you ("Client" or "you") agree to these Terms.

NexaSeva works as a digital marketing, web dev, and AI tool agency. We provide 8 focus services through a central WhatsApp Business chat hub.

2. Service Overview

NexaSeva offers these services across three main streams:

Stream A: Growth & Ads

  • Marketing & Growth Systems: Custom sales funnels, A/B tests, ads, and growth plans.
  • Social Media Management: Content planning, scheduling, post replies, and monthly reports.
  • Ad Creatives: Banners, posters, reels, and custom graphics for active ads.

Stream B: Creative & Content

  • Graphic Designing: Logo identity, web layouts, font styles, and brand assets.
  • Video Editing: Fast edits for reels, shorts, and corporate videos with sound design and motion work.
  • Content Management: Web SEO, copy edits, post rewrites, and brand guides.

Stream C: Tech & Automation

  • Web Development: Mobile-friendly sites, online stores, web apps, and custom web builds.
  • AI Tools & Automation: API webhooks, custom AI bots, and automated workflows.

3. Communication Channels

NexaSeva uses a centralized chat model:

  • Primary Channel: All quick chats go through our WhatsApp Business line. It runs on a dedicated business SIM card.
  • Email: Official forms and letters go to help@thenexaseva.com or support@thenexaseva.com.
  • Response Commitment: We try to answer WhatsApp texts in 4 business hours. Our work hours are Mon–Sat, 9:00 AM to 8:00 PM IST.
  • Auto-Greeting: Our WhatsApp line has automated welcome texts for off-hours help.

4. Onboarding Process

New client setup follows a simple three-step path:

  • Step 1 — Discovery Form: You fill out a Google Form. This details your business goals, target markets, and bottlenecks.
  • Step 2 — Asset Handover: We track items in a shared Google Sheet. You upload logos, text, keys, and guides here.
  • Step 3 — Project Management: We handle everyday checks, reviews, and updates via WhatsApp.

5. Payment Terms

  • Marketing Plans: We offer two marketing plans. Business Starter (₹1,500 for 10 days) and Business Intermediate (₹5,000/month). We send bills for these plans.
  • On-Demand Services: We quote other services per project. We send a custom price after discussing your requirements.
  • Payment Structure: You pay a 50% deposit to start. The final 50% is due when the work is done and approved.
  • Payment Methods: We coordinate all bills via WhatsApp. We email your final invoice. We accept UPI and bank transfers.
  • Late Payment: If bills are not paid in 15 days, we may pause our work. We resume once you clear the balance.

6. Intellectual Property

  • Client Ownership: You own the final files, code, and designs. This ownership starts once you pay all invoices in full.
  • Portfolio Rights: NexaSeva can show the done work in our portfolio and marketing, unless you opt out in writing.
  • Third-Party Assets: We will list any stock photos or fonts used. We will share licensing needs.
  • Source Files: We provide source files (like PSD, AI, or Figma files) upon request and full payment.

7. Confidentiality

NexaSeva respects client data safety:

  • All files shared via Google Forms, Sheets, WhatsApp, and email are strictly private.
  • We do not sell, rent, or trade your data to third parties.
  • Our staff must follow strict non-disclosure rules.
  • We lock trackers so only approved staff can view your project files.

8. Service Level Agreement (SLA)

  • Response Time: We reply in 4 business hours via WhatsApp during standard work hours.
  • Revision Rounds: We include 2 free rounds of edits for each item. More edits may cost extra.
  • Delivery Timelines: We confirm delivery dates via WhatsApp onboarding. Dates depend on how fast you share assets and feedback.
  • Escalation Path: Send questions or concerns via WhatsApp, or email help@thenexaseva.com or support@thenexaseva.com.
  • Website Uptime: We aim for 99.9% uptime for web builds and hosting projects.

9. Cancellation & Refunds

  • Marketing Plans: You can stop marketing plans at any time. Business Intermediate needs 15 days' notice. There are no refunds for the active billing cycle.
  • On-Demand Projects: Once work begins, deposits are non-refundable. You will get all completed assets up to the cancel date.
  • Unstarted Work: We refund payments in 7 business days if no work has started.
  • Mutual Termination: Either side can end the agreement with 15 days' written notice. We will deliver all pending work.

10. Limitation of Liability

NexaSeva is not liable for:

  • Indirect, special, or accidental damages from using our services.
  • Loss of revenue or data if third-party tools go down (like Google, Meta, or WhatsApp).
  • Delays due to slow client feedback or late assets.
  • Ad campaign returns, since market trends and competition are outside our control.

Our maximum total liability is limited to the fees you paid for the specific service in question.

11. Governing Law & Jurisdiction

These Terms follow the laws of India. Any disputes must go to the courts in India.

12. Modifications

NexaSeva can change these Terms. We will message clients about updates via WhatsApp or email 15 days before they start. Using our work after that means you agree to the new Terms.
